General Plumbing Supply – Terms of Sale
1. Scope of Agreement
These Terms of Sale (“Terms”) govern the sale of all products and services by General Plumbing Supply (“Company”) to the customer (“Buyer”). By placing an order, Buyer agrees to be bound by these Terms.

2. Pricing and Payment
• Pricing: Prices are subject to change without notice. The prices in effect at the time of order confirmation will apply.
• Payment Terms: Payment is due within 30 days from the invoice date unless otherwise agreed in writing.
o Late payments will incur a 1.5% monthly finance charge or the maximum rate permitted by California law.
• Taxes: All applicable state and local taxes will be added to the invoice unless a valid resale or exemption certificate is provided.

3. Delivery and Shipping
• Delivery Terms: All shipments are F.O.B. (Free on Board) Company’s warehouse. Risk of loss passes to Buyer upon delivery to the carrier.
• Delivery Times: Delivery dates are estimates only. The Company is not liable for delays due to causes beyond its reasonable control.
• Freight Charges: Shipping and handling charges will be added to Buyer’s invoice unless otherwise stated.

4. Returns and Restocking
• Return Policy: Returns must be made within 30 days of purchase and require prior authorization. Proof of purchase is required.
• Condition: Returned items must be in resalable condition.
• Restocking Fee: A restocking fee of 15% may apply for non-defective returns.

5. Warranty
• The Company warrants that all products will conform to the manufacturer’s specifications at the time of delivery.
• Exclusions: The Company makes no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

6. Limitation of Liability
• The Company’s liability for any claim is limited to the purchase price of the product in question.
• The Company is not liable for any incidental, indirect, or consequential damages.

7. Dispute Resolution
• Any disputes arising out of these Terms shall be resolved under the laws of the State of California.
• Venue: The parties consent to the jurisdiction of courts located in Contra Costa County, California.

8. Special Orders
• Special-order items are non-cancelable and non-refundable. A deposit may be required at the time of order placement.

9. Changes and Cancellations
• Orders cannot be changed or canceled without prior approval. Cancellation charges may apply.

10. Entire Agreement
These Terms constitute the entire agreement between the Company and the Buyer. Any deviations must be agreed upon in writing by authorized representatives of both parties.
